Terms of Service

1. Acceptance of Terms

By accessing or using the OCNexus platform ("Service"), operated by LumenIQ Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

OCNexus is an AI-powered development pipeline orchestrator that converts GitHub issues and plain-English requests into tested, reviewed pull requests. The Service integrates with third-party providers including GitHub, Anthropic (Claude), Stripe, and Supabase.

3. Accounts and Registration

You must authenticate via GitHub OAuth to access the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 18 years old or the age of majority in your jurisdiction.

4. Subscriptions and Billing

Paid plans are billed monthly or annually via Stripe. Founding member pricing is locked for the duration of your continuous subscription. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Credit usage is metered per pipeline run. Overage charges apply at the rate specified on the pricing page. We reserve the right to modify pricing for new subscribers with 30 days' notice.

5. Your Code and Data

You retain all ownership rights to your code, repositories, and data. We do not claim any intellectual property rights over content you process through the Service. We access your repositories solely to perform the services you request (analysis, implementation, review) and do not use your code to train AI models.

Pipeline outputs (generated code, pull requests, review comments) are owned by you. We may retain anonymized, aggregated usage metrics for service improvement.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or to violate any laws
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service infrastructure
  • Reverse engineer the Service or its AI models
  • Use the Service to generate malicious code, malware, or exploits
  • Exceed rate limits or abuse API endpoints
  • Resell access to the Service without written authorization

7. Third-Party Services

The Service integrates with third-party providers (GitHub, Anthropic, Stripe, Supabase, Railway, Netlify). Your use of these services is governed by their respective terms. We are not responsible for third-party service outages, changes, or data handling practices.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We may perform maintenance, updates, or modifications that temporarily affect availability. During beta, features may change without notice.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service, including all AI-generated outputs, is provided without warranties of any kind, express or implied. We do not warrant that generated code will be free of bugs, security vulnerabilities, or errors. You are responsible for reviewing and testing all code before merging or deploying.

11. Termination

We may suspend or terminate your access for violation of these Terms or for any reason with 30 days' notice. You may cancel your subscription at any time. Upon termination, your right to use the Service ceases immediately and we may delete your account data after a 30-day grace period.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
